Trade Design Program Terms & Conditions

Welcome to the Scout & Nimble Trade Design Program. These terms and conditions ("Terms") govern your participation in our trade program and use of trade benefits. By applying for and/or using the Trade Design Program, you agree to be bound by these Terms.
1. Program Overview
The Scout & Nimble Trade Design Program ("Program") is designed to support professional interior designers, architects, builders, and other qualified trade professionals with exclusive pricing, personalized service, and specialized resources for their design projects.
2. Eligibility Requirements
To qualify for the Trade Design Program, applicants must:
- Be a licensed interior designer, architect, builder, or other qualified trade professional
- Provide valid business license or professional credentials
- Provide current resale certificate (where applicable)
- Have an established design business or professional practice
- Complete the trade application form in its entirety
- Agree to use products purchased through the program for client projects or professional purposes
Scout & Nimble reserves the right to verify eligibility and approve or deny applications at our sole discretion.
3. Membership Tiers and Benefits
Tier Structure
The Program operates on a three-tier system based on annual spending:
SELECT Tier (15% discount)
- No minimum spend required
- Available immediately upon program approval
PREMIUM Tier (20% discount)
- Minimum spend: $15,000 annually
ELITE Tier (25% discount)
- Minimum spend: $30,000 annually
Special Project Pricing
- Orders with a subtotal of $50,000 or more (before trade discount) automatically receive 30% off, regardless of tier level
- Free shipping included on orders of $50,000+
Annual Reset
- Tier levels reset on January 1st of each calendar year
- Previous year spending does not carry over unless specifically adjusted by Scout & Nimble
4. Pricing and Discounts
Trade Discount Application
- Trade discounts apply to the manufacturer's suggested retail price (MSRP) or regular price
- Discounts are calculated at the account level, not as promotional codes
- Trade members receive their designated tier discount on all eligible products
Best Price Optimization
- Our advanced Best Price Optimization system automatically compares your trade discount against active sale prices and promotional offers to ensure you receive the lowest available price on every order
- The system evaluates both your tiered trade discount and current sale pricing, applying whichever option provides greater savings
- For mixed carts containing both sale and regular-priced items, the system calculates the optimal combination to maximize your savings
- You will always receive the most advantageous pricing available without any additional effort
- Trade discounts cannot be combined or "stacked" with other promotional codes or offers
- Clear pricing transparency: your cart will display exactly how savings were calculated and applied
Exclusions
The following items are excluded from trade discounts:
- Gift cards
- Sample products
- Shipping and handling fees
- Items specifically marked as "not eligible for additional discounts"
5. Shipping and Handling
- Orders under $300: $19.95 flat rate shipping fee
- Orders $300-$999 (small parcel): Free shipping
- Orders $1,000+ (freight eligible): Free shipping
- Expedited shipping options available at additional cost
- International shipping not available through trade program
6. Ordering and Account Management
Account Responsibilities
- Maintain current and accurate business information
- Notify Scout & Nimble of any changes to business status or contact information
- Use trade pricing exclusively for client projects and professional purposes
- Not resell or transfer trade benefits to unauthorized parties
Order Modifications
- Account totals adjust automatically for order modifications, cancellations, or returns
- Tier levels may change based on adjusted annual spending
- Partial cancellations may affect tier progression
7. Payment Terms
- Payment due upon order placement unless other arrangements are made
- Accepted payment methods: major credit cards, ACH transfers, net terms (where approved)
- Net payment terms subject to credit approval and separate agreement
- Late payment fees may apply to net terms accounts
8. Returns and Exchanges
General Return Policy
- Custom and made-to-order items are final sale
- Stock items may be returned within 30 days of delivery
- Items must be in original condition and packaging
- Return shipping costs are the responsibility of the customer unless item is defective
- Restocking fees may apply
Impact on Tier Status
- Returned items reduce annual spending totals
- Tier levels may be adjusted based on net annual purchases
- Refunds processed to original payment method
9. Concierge Services
Service Availability
- Trade concierge services available Monday-Friday, 9am-5pm CST
- Response time goals: 24 hours for standard inquiries, same business day for urgent matters
- Services include product sourcing, order tracking, and project coordination support
Service Limitations
- Concierge services are complimentary but not guaranteed
- Custom sourcing subject to vendor availability and minimum order requirements
- Scout & Nimble not responsible for vendor delays or product availability
10. Privacy and Data Use
- Business information collected is used solely for trade program administration
- Marketing communications can be opted out of at any time
- Personal and business data protected according to our Privacy Policy
- Customer project information kept confidential
11. Intellectual Property and Marketing
Use of Projects
- By participating in the program, you grant Scout & Nimble permission to feature completed projects in marketing materials (when specifically requested and approved)
- Professional photography and attribution provided when projects are featured
- Right to decline any marketing requests
Trademark Usage
- Trade members may reference their Scout & Nimble partnership in professional materials
- Scout & Nimble logos and trademarks may not be used without written permission
12. Program Modifications
Scout & Nimble reserves the right to:
- Modify tier requirements, discount percentages, or program benefits with 30 days notice
- Add or remove participating brands and products
- Update terms and conditions as needed
- Discontinue the program with 60 days notice to active members
13. Termination
By Member
- Members may terminate participation at any time by written notice
- Outstanding orders will be fulfilled under existing terms
- No refund of membership fees (if applicable)
By Scout & Nimble
Scout & Nimble may terminate membership for:
- Violation of these terms and conditions
- Fraudulent or inappropriate use of trade benefits
- Non-payment of outstanding balances
- Closure or change in business status that affects eligibility
14. Limitation of Liability
Scout & Nimble's liability is limited to the cost of products purchased. We are not liable for:
- Indirect, consequential, or punitive damages
- Business interruption or lost profits
- Delays caused by vendors or shipping companies
- Product defects covered by manufacturer warranties
15. Dispute Resolution
- Disputes will be resolved through binding arbitration
- Governing law: State of Missouri

By participating in the Scout & Nimble Trade Design Program, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. You also confirm that you meet all eligibility requirements and will use trade benefits in accordance with these Terms.
These terms and conditions are subject to change. Members will be notified of material changes via email with at least 30 days advance notice.
